Terms of service

The general terms that apply to engagements with Comnext.

1. Definitions

In these terms, "Comnext", "we", "us" and "our" refer to Comnext B.V., registered in the Netherlands at Mauritslaan 49, 6129 EL Urmond, Chamber of Commerce no. 12345678. "Client", "you" and "your" refer to the natural or legal person commissioning services. "Services" refers to the work described in any quote, statement of work or order confirmation issued by Comnext.

2. Applicability

These terms apply to every quote, agreement and engagement between Comnext and the Client, unless explicitly agreed otherwise in writing. The applicability of any general purchasing or other terms used by the Client is expressly rejected.

3. Quotes and agreements

Quotes are valid for 30 days unless stated otherwise. An agreement is concluded when the Client confirms a quote in writing or by email. Verbal commitments only become binding once confirmed in writing by Comnext.

4. Performance and timelines

Comnext will perform the Services with reasonable skill and care. Indicative timelines are estimates. Delays caused by the Client (for example late approvals or missing assets) extend the timeline accordingly without liability for Comnext.

5. Pricing and invoicing

Prices are quoted in euros and exclude VAT and third-party costs. Retainers are invoiced monthly in advance. Project fees are split into milestones. Payment terms are 14 days from invoice date. Late payments accrue statutory commercial interest plus reasonable collection costs.

6. Cancellation

Retainers can be cancelled with one calendar month notice in writing. Project work that has been started or completed cannot be cancelled retroactively and remains payable.

7. Intellectual property

All deliverables transfer to the Client upon full payment of the related invoices, unless agreed otherwise. Comnext retains the right to use anonymised case data and to display public deliverables in its portfolio.

8. Confidentiality

Both parties undertake to keep non-public information shared during the engagement confidential and to use it only for the purpose of performing the Services.

9. Liability

Comnext's liability for direct damages is limited to the amount paid by the Client in the three months prior to the event giving rise to the liability. Liability for indirect, consequential or commercial damages is excluded except in the case of intent or gross negligence.

10. Force majeure

Neither party is liable for failure to perform caused by events beyond reasonable control, including infrastructure outages, government restrictions and natural disasters.

11. Applicable law

These terms and any disputes arising from them are governed by Dutch law. Disputes will be submitted to the competent court in Maastricht, unless mandatory law dictates otherwise.

12. Changes

Comnext may update these terms. Material changes will be communicated to active clients. The version published on this page applies to new engagements.
